Financial technology regulation in Canada

Canadian fintech regulation turns on what a product does, not what it is called — and the analysis starts with the flow of funds.

Fintech products in Canada attract regulatory attention based on what they do, not what they are called. A company can describe itself as a software platform, a marketplace, or a technology provider and still be performing regulated financial activity under Canadian law. The activity is what matters, and the activity is determined by the flow of funds, the role of each party, and what the product actually does for customers.

The three main regulatory regimes

Three frameworks govern most of what fintech companies do in Canada.

FINTRAC, administered under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act, applies to money services businesses. MSBs are companies that transmit funds, deal in foreign exchange, deal in virtual currency, issue or redeem money orders, or deal in prepaid payment products in prescribed circumstances. Registration with FINTRAC is mandatory before conducting MSB activity, not after. Operating without registration exposes the company and its officers to administrative monetary penalties and, in serious cases, criminal liability.

Provincial securities regulators, organized nationally through the Canadian Securities Administrators, govern investment products, trading platforms, portfolio management, order execution, and capital raising. Registration requirements depend on the specific activity, the relationship with clients, and the regulatory category that applies to the role the platform plays. Securities analysis is not limited to traditional brokerages. Crypto trading platforms, robo-advisors, referral arrangements, and exempt market dealers each engage distinct registration categories.

Provincial consumer protection and credit legislation, which varies across jurisdictions, governs lending, credit disclosure, borrower rights, and certain financial services offered to consumers and small businesses. The rules differ by province, and the analysis depends on who is lending, who the borrower is, and where the credit relationship is formed or performed.

These frameworks do not sort fintech products into neat categories. A single product can engage more than one regime at the same time. A crypto platform may be both a FINTRAC registrant and subject to securities analysis. A lending platform that processes payments may engage credit regulation and MSB obligations simultaneously. Infrastructure providers that describe themselves as software companies may find that what they do for customers constitutes regulated financial activity regardless of the label.

Why the activity label matters more than the product label

The statutory definitions that control each regime focus on what is happening, not what the company calls it. Under FINTRAC’s MSB framework, the question is whether the company is dealing in foreign exchange, transmitting funds, dealing in virtual currency, or performing another enumerated activity. What the company calls its product, or how it describes its business model in its marketing materials, does not affect the analysis.

This creates a practical design problem for product teams. Products can be built without regulatory classification in mind, and the classification question arrives later during banking onboarding, processor diligence, partner due diligence, investor review, or direct regulatory contact. By that point, the product architecture, customer-facing terms, and operating model are already established. Retrofitting compliance into a live product is significantly more expensive than building with the regulatory analysis in hand from the start.

Regulatory classification is also not a one-time question. Products change, features are added, partners are replaced, and customer use patterns evolve. Each of those changes can affect the classification. A product that did not engage MSB registration at launch may engage it after adding a foreign exchange feature, changing how funds flow through the platform, or expanding into a new market.

How fund flows determine classification

The most reliable way to assess regulatory exposure is to follow the funds. Who receives funds from customers? Who controls the movement of those funds between steps in the process? Who holds funds, and for how long? Who settles to the final recipient? Each of those questions affects whether a particular entity is performing MSB activity or providing a regulated financial service.

The same questions apply to investment and lending products. Who is the counterparty to the transaction? Who provides the capital? Who makes the credit or investment decision? Who interfaces with the customer and provides the required disclosures? The answers determine which regulatory frameworks apply and to whom.

Fund flows that appear straightforward can become more complex when partners are involved. A payment processor, bank sponsor, card issuer, transfer agent, or technology service provider can each affect the regulatory analysis. Allocating regulatory roles in contracts does not eliminate the underlying regulatory obligation. It affects who bears it and whether the allocation is valid under the applicable framework.

Where the analysis applies across product types

Payment platforms and wallets are the most common context for MSB analysis, but the activity-based framework applies across product categories. An embedded payments feature in a SaaS product, a payroll platform that handles contractor disbursements, a marketplace that settles between buyers and sellers, and a crypto custody product each engage the same basic question: is this entity performing regulated financial activity?

Lending products face a parallel structure under credit law. Whether a platform is the lender, a broker, a servicer, or a technology provider affects its obligations under provincial lending legislation, its disclosure requirements, and its exposure to consumer protection claims. A platform that does not provide credit directly can still bear obligations if it arranges, facilitates, or markets credit to consumers.

Investment platforms engage the securities framework at an earlier stage than many founders expect. Providing access to investment products, automating portfolio decisions, facilitating peer-to-peer investment, or simply referring users to investment opportunities can each engage registration requirements under provincial securities law.

What product teams should address before launch

Regulatory classification is a design input, not a legal formality that follows after the product is built. Product teams that understand which activities engage regulated status can make architecture decisions early about who holds funds, how partners are structured, what the customer-facing terms say, and where compliance obligations sit.

The practical starting point is a fund flow map. Trace funds from the customer through every intermediary to final settlement. Identify every party that touches those funds. Determine what each party does and what role they play. The regulatory analysis follows from that map, not from the product description or the company’s preferred characterization of what it does.

This work does not require a final legal opinion before any product decision is made. It requires enough clarity about activity to support informed choices about structure, partner selection, contract terms, and customer-facing disclosures.
